Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Collabix marketplace at getcollabix.com (the "Service"), operated by Collabix Private Limited. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use Collabix. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. What Collabix is

Collabix is a marketplace that connects brands with creators for paid collaborations. We provide the platform, discovery, contracts, escrow, and dispute tooling. Collabix is not a party to the agreements between brands and creators and is not an employer, agency, or talent representative. Collaborations are contracts directly between the participating users.

3. Your account

• You sign in using Instagram or Facebook. You are responsible for activity on your account.
• You must provide accurate information and keep it current.
• You may not impersonate others, or misrepresent your identity, reach, or engagement.
• We may suspend or terminate accounts that violate these Terms or applicable law.

4. Campaigns, proposals, and contracts

Brands post campaigns describing their requirements and budget. Creators submit proposals (bids). When a brand accepts a proposal, a contract is formed directly between the brand and the creator on the terms they agree to (including any terms negotiated through messaging). You are responsible for performing your obligations under those contracts.

5. Payments, escrow, and fees

• Escrow. Contract funds are held in escrow and released to the creator when milestones are approved, providing payment protection for both sides.
• Platform fee. Collabix charges a commission on completed, paid collaborations, disclosed at the time of the transaction. Fees are non-refundable except as required by law.
• Payouts & taxes. You are responsible for any taxes on your earnings and for providing accurate payout details. Payments are processed by our payment provider.
• No circumvention. Once introduced through Collabix, you agree not to take payment for the collaboration off-platform to avoid fees.

6. Disputes

If a collaboration goes wrong, either party may open a dispute. Collabix may freeze the relevant escrow and facilitate a resolution (release, refund, or split). Our decision on the disposition of escrowed funds under this process is final for the purpose of releasing those funds, without limiting either party's other legal rights.

7. Content and intellectual property

You retain ownership of the content you post and the deliverables you create. You grant Collabix a limited license to host and display your content to operate the Service. Rights to campaign deliverables transfer between the brand and creator as set out in their contract.

8. Prohibited conduct

• Fraud, fake followers or engagement, or misrepresenting your reach.
• Harassment, hate speech, or illegal, infringing, or harmful content.
• Circumventing the platform to avoid fees, or interfering with the Service's operation.
• Violating Instagram/Facebook terms or any applicable law.

9. Third-party platforms

Features that rely on Instagram or Facebook are subject to Meta's terms and policies. Your use of those platforms through Collabix must comply with them.

10. Disclaimers

The Service is provided "as is" and "as available". We do not guarantee any particular results, the quality or conduct of any user, or that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Collabix will not be liable for indirect, incidental, special, or consequential damages, or for any lost profits or revenues, arising from your use of the Service.

12. Indemnification

You agree to indemnify and hold Collabix harmless from claims arising out of your use of the Service, your content, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access for violations of these Terms or to protect the Service and its users.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules, and any disputes will be resolved in the courts located there.

15. Changes

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
